The following agreement outlines the terms and conditions that govern the relationship between Buyandcarry Services and all sellers who use its e-commerce platform, including a website, mobile application, delivery, and payment infrastructure.
These terms and conditions apply to the sale of consumer products in Nigeria to buyers worldwide. Sellers who register on the platform agree to abide by these terms and conditions, as well as the general terms and conditions, and Buyandcarry Services's policies and guidelines, which may be amended from time to time.
To confirm their agreement, sellers must click on the relevant button, which will serve as an electronic signature. If required by the laws of the territory, a physical signature may also be required.
If you sign up as a seller on our marketplace, you'll be able to create a store on the marketplace using the vendor portal. Upon receiving a seller's request for approval, Buyandcarry Services will review the store prior to allowing it to become functional. As a seller, you can only open one vendor account with Buyandcarry Services .com
You'll be responsible for your store, listings, and products. By registering with the marketplace, you agree to obtain any licenses necessary to sell your products on the platform.
As a seller, you must conduct your business on the marketplace with skill and care while cooperating in good faith with Buyandcarry Services and buyers. We reserve the right to reject, unpublish, and/or delete any seller store that violates these seller terms and conditions, the general terms and conditions, or any Buyandcarry Services codes, policies, and guidelines.
Employees of Buyandcarry Services and their family members may not register as sellers unless approved by Buyandcarry Services 's conflict of interest procedures.
The following items are strictly prohibited from being sold on our marketplace: meat/beef produce, drugs, controlled substances, pornographic or sexual materials, armaments, firearms, ammunition, or any products that are banned according to the Prohibited and Restricted Products Policy or applicable law.
You are not permitted to sell counterfeit products on our marketplace as this will result in penalties which include but are not limited to suspension, permanent deletion from the marketplace, or legal action.
If we need to determine the authenticity of a product, we will request that you promptly provide us with any information or documentation needed to verify the authenticity of the products.
All packaged/labelled food products listed on the website must have a minimum of 6 months shelf life.
As a seller on our marketplace, you're responsible for listing your products by uploading a complete product listing on the Vendor portal, which includes prices, detailed information, specifications, and images for each product. You cannot publish more than one listing for the same product.
By submitting listings, you agree to take full responsibility for them. All listings must be bona fide and comply with the rules on content in the general terms and conditions, as well as the Content and Image Guidelines. Furthermore, listings must include all required information, specifications, and guidelines as required by applicable laws and regulations concerning consumer protection.
Buyandcarry Services may review and approve listings at their discretion before publishing them on the marketplace. However, you acknowledge that you're entirely responsible for your listings even if they're approved. Please note that there may be an approval window between submitting your product listing and publishing it on the marketplace due to Buyandcarry Services quality control operations.
It is strictly prohibited to advertise, buy, sell, or supply any products that violate any laws or regulations, infringes on intellectual property or other rights of any person, or contain content that goes against our rules. We reserve the right to reject, unpublish, and/or delete any listings that breach these seller terms and conditions, the general terms and conditions, or any Buyandcarry Services codes, policies, or guidelines.
Only products that fit within the categories specified may be listed on our marketplace. If a product is no longer available, you need to deactivate its listing.
We strictly prohibit the advertisement, purchase, sale, or supply of any product that violates any laws or regulations, infringes on another's intellectual property rights, or contains content that violates our policies.
The following items are strictly prohibited from being sold on our marketplace: drugs, narcotics, steroids or controlled substances, pornographic, obscene, sexually explicit materials, swords, firearms, weapons, ammunition, or any products that are banned according to the Prohibited and Restricted Products Policy or applicable law.
We have a strict anti-counterfeit policy, and any attempt to sell counterfeit products on our marketplace will result in penalties as outlined in the Seller Penalty Policy, which includes financial penalties, permanent suspension from the marketplace, and possible prosecution
If we request it in writing, you must promptly provide us with any information or documentation needed to verify the authenticity of the products.
The seller is responsible for setting the market price of their products, and they may change it through the Vendor portal as needed, including for discounts during certain seasons. The value-added tax (VAT) and any other taxes relevant to the transaction must be included in your product listings on the marketplace. The price you set must comply with all relevant laws, such as those related to fair competition.
For each sale you make on the marketplace, we will charge you a commission, as specified on the commissions and fees page of the Vendor portal.
We may change the commissions and/or fees at any time by providing prior notice and updating the commissions and fees page of the Vendor portal. However, any liability to pay commissions accrued before the new rates are posted or for services previously paid for will not be affected.
In order to purchase products from the marketplace, buyers shall make payments to us, which we shall deduct commissions, fees, taxes, penalties, refunds, and any other amounts that you owe us. After these deductions, we will remit the proceeds of the sale to you in the currency of the marketplace and using the payment mechanism we specify. When we pay you, we will provide evidence of payment to your nominated account.
You are responsible for ensuring that your account details are accurate and up-to-date and that your account is secure. We will not be liable for any loss or damage resulting from fraud or errors in your account. We will provide you with an account statement via the Vendor portal that lists all proceeds, deductions, and remittances. We can set off any amounts you owe us against any amounts we owe you, across multiple Vendor portal accounts if you operate more than one.
If you dispute any transaction or statement of account, you must report your claim to us within three (3) months of the relevant transaction, or else your claim will be deemed waived.
It is the Seller’s responsibility to register with the relevant tax authorities and pay all relevant taxes required by applicable law regarding your product sales.
Once Buyandcarry Services confirms a sale, you must prepare the product(s) for shipping by following the and deliver them to the designated drop-off point within the specified timelines, opening hours, and procedures outlined in the onboarding manual.
We reserve the right to inspect all products received and return any product that does not comply with the Packaging Guidelines, quality control checks, or other product requirements outlined in section 4. You will retain ownership of the products until the buyer pays Buyandcarry Services in full and receives the product. After delivery, ownership of the products will transfer to the buyer, and we will assume responsibility for any loss or damage that occurs during shipping. Our liability for your products in our possession will be limited to their cost price, subject to the terms and conditions' further limitations and exclusions.
We may penalize you for any violations of the Packaging Guidelines or Delivery Guidelines. The specific amount of penalties will be specified in the Seller Onboarding manual.
Any violation of these seller terms and conditions or Buyandcarry Services codes, policies, or guidelines will be dealt with as follows:
For breach of contract or any other reason, we may pursue legal action against you.
A formal warning may be sent to you.
Depending on our Seller Penalty Policy, impose penalties for the violation.
According to the general terms and conditions, you may be suspended, blocked, or prohibited from using the marketplace.
Information and documents related to business transactions or conduct under these terms and conditions, including policies, procedures, and sales data, are confidential and may not be used for any purpose other than fulfilling obligations under this contract.
Sellers are not allowed to send promotional or advertising communications to buyers on the marketplace without Buyandcarry Services 's prior written consent, and they are responsible for any misuse of buyer's personal data. If Buyandcarry Services is penalized or fined due to seller's handling of personal data from the marketplace, the seller is responsible for indemnifying Buyandcarry Services .
Disclosure of Buyandcarry Services 's confidential information requires prior written consent.
These seller terms and conditions are subject to the general terms and conditions and shall be governed by the laws of the territory. These terms and conditions, along with the Buyandcarry Services codes, policies, and guidelines, constitute the entire agreement between the seller and Buyandcarry Services for use of the marketplace and supersedes all previous agreements.
You must also comply with the Buyandcarry Services General terms of use and regulations published on the marketplace from time to time, and follow industry best practices and ethical business practices. Additionally, you must comply with all applicable laws, including but not limited to all laws, statutes, regulations, and other enactments of the territory, the U.S. Foreign Corrupt Practices Act, U.K. Bribery Act, anti-bribery and corruption, anti-money laundering, anti-terrorism laws, and any trade or export sanctions or restrictions imposed by the United States, the United Kingdom, the European Union, and/or the United Nations.
